Draft — requires professional review
These Terms of Service is a working draft, written in plain English to describe how KohiShifa actually works today. It has not yet been reviewed by a qualified lawyer and may change before commercial launch. Clauses we already know need specialist review are marked “Requires professional legal review before launch”.
About these terms
These terms are an agreement between you and [KohiShifa legal entity name], [registered address] (“KohiShifa”, “we”, “us”, “our”). They apply when you visit kohishifa.com, try the interactive demo, join the early-access waiting list, create an account or use any KohiShifa feature (together, the “Service”).
Requires professional legal review before launch. The contracting entity’s legal name, registered address and company number must be completed before launch.By using the Service you agree to these terms. If you don’t agree, please don’t use it. Our Privacy Policy explains how we handle personal information, and our Wellness Disclaimer explains what KohiShifa is and isn’t designed to do. Both form part of how the Service works, so please read them too.
The short version
KohiShifa is a general-wellness tool for adults, not a medical service. Your content stays yours. The AI companion is optional and can be wrong. We’re in early access, so things will change. It’s currently free, and we’ll never charge you without asking first. This summary doesn’t replace the full terms below.
Who can use KohiShifa
You must be at least 18 years old to use the Service. By creating an account or joining the waiting list, you confirm that you are 18 or over and able to enter into a binding agreement. KohiShifa is designed for individuals managing their own everyday routines, primarily in the United States, the United Kingdom and other English-speaking countries.
You may not use the Service if we have previously closed your account for breaking these terms, or if using it would break the laws that apply to you. If we learn that an account belongs to someone under 18, we will close it.
Wellness, not medical advice
KohiShifa helps you organise everyday habits and routines — things like drinking water, going to bed at a steadier time, moving more and reflecting on your day. It is a general-wellness and self-organisation tool.
- It is not a medical device or medical service, and it does not diagnose, treat, cure or prevent any disease or condition.
- It is not a substitute for a doctor, therapist, dietitian, pharmacist or any other qualified professional, and using it does not create a professional–patient relationship.
- Goals, streaks, charts and insights are calculated from what you enter. They are not health assessments.
- Please don’t use the Service to store medical histories, diagnoses or medication lists.
If you think you may be experiencing an emergency, contact your local emergency number immediately (911 in the US, 999 in the UK, 112 in the EU). Our Wellness Disclaimer lists crisis resources and explains these limits in more detail.
Your account and security
Some features need an account, which you create with an email address and password. When you create an account, you agree to:
- give an email address you own and can access, and keep it up to date;
- choose a strong password that you don’t use anywhere else, and keep it private;
- not share your account or let anyone else use it; and
- tell us promptly at hello@kohishifa.com if you think someone has accessed your account without permission.
You’re responsible for activity on your account unless it results from our failure to take reasonable care with security. Accounts are personal — one person per account.
Acceptable use
We want KohiShifa to stay calm, safe and useful for everyone. When using the Service, you agree not to:
- break any law, or use the Service to help anyone else break the law;
- try to access another person’s account or data, or probe, scan or test the Service’s security without our written permission;
- get around rate limits, usage limits, sign-in or other protections, or interfere with the Service’s normal operation (for example by overloading it or introducing malware);
- scrape, copy or harvest the Service or its content using automated means, or create accounts by automated means;
- reverse engineer or decompile the Service, except where the law gives you a right to do so that can’t be excluded;
- use the AI companion to try to produce harmful, unlawful, hateful or sexually explicit content, or to get around its safety measures;
- impersonate anyone, or misrepresent your connection with any person or organisation;
- enter other people’s personal or health information without their permission; or
- resell, sublicense or commercially exploit the Service without our written agreement.
If you break these rules, we may limit features, suspend or close your account, as described in Ending your use.
Your content
“Your content” means everything you put into the Service — habits, logs, sleep entries, notes, reflections, goals, messages to the AI companion and anything else you enter.
You own it
You keep all ownership rights in your content. We don’t claim it, we don’t sell it, we don’t use it for advertising, and we don’t use it to train AI models.
The limited permission you give us
So that we can run the Service, you give us a non-exclusive, worldwide, royalty-free permission to store, process, copy, display back to you and transmit your content — but only to provide, secure and maintain the Service for you, and to follow your instructions. That includes, for example, calculating your insights and, if you choose to use the AI companion, sending your messages to our AI provider to generate a reply.
This permission ends when you delete the content or your account, except for any copies that remain temporarily in backups or that we must keep by law, as explained in our Privacy Policy.
Your responsibilities
You’re responsible for your content and for having the right to enter it. Please keep it to your own everyday routines and thoughts. You can export your content as JSON or delete it at any time from Settings.
The AI companion
The AI companion is an optional feature powered by the configured Google Gemini or Anthropic Claude API. If it’s available and you choose to use it, these extra terms apply.
- Consent first. You must be signed in and give explicit consent before using it. You decide, by sending a message, what you choose to share. Neither habits nor reflections are sent automatically.
- AI-generated and labelled. Replies are generated automatically by an AI model and are labelled as AI-generated. No human reviews them before you see them.
- It can be wrong. Replies may be inaccurate, incomplete, out of date or not suitable for you. Use your own judgement and check anything important with a reliable source or a qualified professional.
- Not professional advice. The companion is not a doctor, therapist, dietitian or any other licensed professional. It won’t diagnose conditions, recommend or adjust medication, or prescribe diets, and you shouldn’t rely on it for those things.
- Not for emergencies. If a message suggests someone may be in crisis, KohiShifa shows a safety message with crisis resources instead of an AI reply. The companion cannot contact emergency services or anyone else on your behalf.
- Usage limits. To keep the Service fair and affordable, we apply usage limits, which may change over time. We may pause or switch off the companion — for everyone or for a particular account — for reasons such as cost, misuse, safety or availability of our AI provider.
- Third-party processing. Your messages are processed by Google or Anthropic, as configured, under applicable provider terms, as described in our Privacy Policy.
You may use the companion’s replies for your own personal purposes. Similar replies may be given to other people, so we can’t promise they are unique.
The interactive demo
The interactive demo lets you try KohiShifa without an account. It runs in your browser using clearly labelled sample data, and anything you change is stored only in your own browser’s local storage — it is never sent to us. You can reset it at any time, or clear it from Cookie Preferences. Because demo data lives on your device, anyone else using the same browser may be able to see it. The demo is provided for evaluation only, and it may change or be reset as the product develops.
Early access and availability
KohiShifa is an early-stage product, and we’re open about that. By using it now, you understand that:
- features may be added, changed or removed, and some features described on our website are labelled “Planned” because they don’t exist yet;
- the Service may have bugs, interruptions or downtime;
- some features (such as accounts or the AI companion) are only available when the services behind them are configured, and may be temporarily unavailable;
- we don’t offer a service level agreement or any guarantee of uptime, response times or availability; and
- although we work hard to protect your data, it is sensible to export a copy from Settings from time to time.
Joining the early-access waiting list doesn’t guarantee access by a particular date. If we ever decide to close the Service, we’ll give you reasonable notice — we aim for at least 30 days — so you have time to export your data.
Fees and planned paid plans
KohiShifa is currently free to use. We don’t collect payment card details, and there is nothing to cancel.
We plan to offer optional paid plans in the future — currently planned as Plus at $9 per month and Pro at $19 per month — but these are not yet available, and their features and prices may change before launch. See Pricing for the latest plans.
We will never charge you without clear notice and your explicit agreement. Before any paid plan launches, we’ll publish its price, what it includes, how billing and cancellation work, and any additional terms, and you’ll only pay if you choose to subscribe. Features that are free today won’t silently become paid for existing users without notice.
Requires professional legal review before launch. Subscription terms — including automatic renewal disclosures, cancellation rights (such as the UK 14-day cancellation period for digital services and US state auto-renewal laws), refunds and taxes — must be drafted before any paid plan launches.Our intellectual property
The Service — including its software, design, text, illustrations, the KohiShifa name and logo, and our educational content — belongs to us or our licensors and is protected by intellectual property laws. Except for your content, we and our licensors keep all rights in the Service.
We give you a personal, non-exclusive, non-transferable, revocable permission to use the Service for your own non-commercial purposes in line with these terms. You may share links to our pages and quote short extracts with attribution, but you may not copy, modify or redistribute substantial parts of the Service or use our name or logo in a way that suggests we endorse you.
If you send us ideas or feedback, you’re welcome to — and we may use them to improve KohiShifa without owing you anything. We won’t publish your feedback in a way that identifies you without your permission.
Third-party services
The Service relies on third-party providers — such as Supabase for the database and sign-in, Vercel for hosting (planned) and Google or Anthropic for the optional AI companion — which are described in our Privacy Policy. The Service also links to external websites, such as crisis helplines. We don’t control third-party websites and aren’t responsible for their content, availability or privacy practices; their own terms apply when you use them.
Ending your use
You can leave at any time
You can stop using KohiShifa whenever you like, and permanently delete your account and its data from Settings. Before you do, you may want to export a copy of your data. To leave the waiting list, email privacy@kohishifa.com.
When we may suspend or close an account
We may suspend or close your account, or restrict features, if you seriously or repeatedly break these terms, if we reasonably need to in order to protect other people, the Service or our providers, or if the law requires it. Where it’s appropriate and lawful, we’ll tell you why and give you a chance to respond or export your data first.
When an account is closed, the permission you gave us to use your content ends and your data is deleted as described in our Privacy Policy. Sections of these terms that by their nature should continue — such as ownership, disclaimers, limits on liability and governing law — continue to apply.
Disclaimers
We provide the Service with reasonable care and skill, but because it is an early-stage, general-wellness tool, we provide it “as is” and “as available”. To the extent the law allows, we don’t make promises that the Service will be uninterrupted, error-free or always available, that insights or AI replies will be accurate or suitable for you, or that using it will lead to any particular result. Wellness outcomes depend on many things outside our control.
Nothing in these terms affects your legal rights as a consumer that can’t be waived or limited by contract — for example, under the UK Consumer Rights Act 2015.
Requires professional legal review before launch. The scope of warranty disclaimers must be checked for each target market — in particular UK consumer law (statutory rights for digital content and services) and US state law.Limitation of liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that the law doesn’t allow us to limit or exclude.
If you live in the UK, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We are not responsible for loss or damage that isn’t foreseeable, or for business losses, because the Service is for personal use only.
Everywhere else, and to the extent the law allows, we won’t be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from your use of the Service. Our total liability for all claims relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim and (b) US$100.
Requires professional legal review before launch. Enforceability of these limits varies by jurisdiction — for example, under the UK Consumer Rights Act 2015 and Unfair Contract Terms Act 1977, EU consumer law and US state law. The liability cap amount and consumer carve-outs must be confirmed by counsel.Indemnity
To the extent the law allows, you agree to compensate us for reasonable losses and costs (including reasonable legal fees) arising from claims by third parties that result from your deliberate misuse of the Service or your serious breach of these terms. This doesn’t apply to the extent a loss was caused by us, and it doesn’t apply to consumers where the law doesn’t permit it.
Requires professional legal review before launch. Indemnities are often unenforceable or inappropriate in consumer contracts (for example in the UK and EU). Counsel should confirm whether to keep, narrow or remove this clause.Governing law and disputes
Let’s talk first. If you have a concern, please contact us at hello@kohishifa.com. Most issues can be resolved quickly, and we’ll try in good faith to resolve yours within 30 days before either of us starts formal proceedings.
These terms are governed by the laws of [governing law jurisdiction], and disputes will be handled by the courts of [courts / venue], except as described below.
- If you live in the UK, you can bring proceedings in the courts of the part of the UK where you live, and you keep the protection of the mandatory consumer laws of that country.
- If you live in the EU, you keep the protection of the mandatory consumer laws of your country of residence and can bring proceedings in your local courts.
- If you live in the US, [US dispute resolution approach — e.g. courts of the consumer’s state of residence or another agreed forum].
Changes to these terms
We’ll update these terms as KohiShifa develops — for example, when paid plans launch or after our legal review. The “Last updated” date at the top shows the current version.
If we make a change that materially affects your rights, we’ll tell you in the app or by email before it takes effect — normally at least 30 days ahead, unless the change is needed sooner for legal or safety reasons. If you don’t agree to the new terms, you can stop using the Service and delete your account before they take effect. If you keep using the Service after that, the new terms apply.
General
- Entire agreement. These terms, together with the Privacy Policy and Wellness Disclaimer, are the whole agreement between you and us about the Service.
- Severability. If a court finds part of these terms unenforceable, the rest stays in effect.
- No waiver. If we don’t enforce a term straight away, we can still enforce it later.
- Transfer. We may transfer our rights and obligations under these terms to another organisation, for example as part of a business sale; we’ll tell you if this happens, and it won’t reduce your rights. You may not transfer your rights to anyone else.
- Events outside our control. We aren’t responsible for delays or failures caused by events beyond our reasonable control, such as outages at our providers.
- No third-party rights. Only you and we can enforce these terms.
